Since April 6th, 2021 Florence supports PAYE workers only.

Please read these Terms and Policies carefully to understand our views and practices. By registering to use the Services, you are agreeing to be bound by these Terms and in particular you agree and accept the disclaimers and limitations of liability contained in these Terms.

DSS PLATFORM TERMS OF USE
Effective Date: 15th February 2025
These Terms of Use (“Terms”) govern your access to and use of the platforms, websites, applications, systems, and services provided by Digital Staff Solutions Limited, or any of its associated companies, including Florence Staffing Limited (together, “DSS”, “we”, “our” or “us”).
For the purposes of these Terms, the “Platform” means all digital or technology-enabled services made available by DSS, including but not limited to:
- The public website at www.florence.co.uk;
- The Florence Academy learning and compliance platform (B2B and D2C);
- Any mobile apps or browser-based applications used for workforce or rota management;
- Tools for care providers, care workers, and staffing agencies to post, fill, or accept shifts;
- API integrations and related systems provided by DSS; and
- All other digital staffing and training services operated under the DSS or Florence brands.
By accessing or using any part of the Platform, you agree to comply with these Terms. If you do not agree, you must not use the Platform.
DSS operates and provides its digital and staffing services throughout the United Kingdom. These Terms apply regardless of your location, though you acknowledge the Platform is intended primarily for users in the UK and governed by the laws of England and Wales.
1. Scope and Acceptance
You confirm that you are at least 18 years old and legally capable of entering into binding agreements. By using the Platform, you agree to be bound by these Terms and our Privacy Policy. Depending on how you interact with the Platform, you may be required to accept additional terms.
2. Additional Agreements
Additional agreements may apply depending on your role or how you use the Platform, including but not limited to:
- Care providers managing staffing needs;
- Staffing agencies fulfilling client shifts;
- Care workers accessing, accepting, or logging shifts;
- Users of Florence Academy for learning and compliance purposes.
Where applicable, those agreements will supplement or take precedence over these Terms. However, these general Platform Terms apply to all users unless expressly excluded.
3. Permitted Use
You agree to use the Platform only:
- For lawful, authorised, and intended purposes;
- In compliance with all applicable laws and regulations;
- Using accurate and up-to-date information;
- While maintaining the confidentiality of your login credentials;
- Without compromising or disrupting the integrity or security of the Platform.
4. Prohibited Conduct
You must not:
- Use the Platform for any unlawful, abusive, or harmful purpose;
- Attempt to gain unauthorised access to any part of the Platform or its data;
- Upload or distribute malware, viruses, or malicious code;
- Copy, extract, or reproduce any Platform content without permission;
- Misrepresent your identity, role, or authority;
- Use automated tools (e.g. scraping or bots) to interact with the Platform;
- Harass or abuse other users of the Platform.
We reserve the right to suspend or terminate your access if we reasonably believe you have breached these Terms.
5. Intellectual Property
All content, code, systems, features, and trademarks on or related to the Platform are owned by or licensed to DSS. You are granted a limited, non-exclusive, revocable licence to use the Platform for its intended purpose. You may not reproduce, distribute, alter, or commercially exploit any part of the Platform without prior written permission.
6. Learning and Content Use
Florence Academy and any educational or training content on the Platform is provided for informational purposes. While DSS makes reasonable efforts to ensure accuracy, we do not guarantee that such content is complete, correct, or compliant with all industry or regulatory requirements. Use of Florence Academy is subject to these Terms and any additional Florence Academy-specific terms.
You may not:
- Share access credentials;
- Falsify training records or certificates;
- Upload unauthorised or inappropriate material.
7. Account Suspension and Termination
We may suspend or terminate your access to the Platform at our discretion and without notice if:
- You breach these Terms or any additional agreement;
- Your use poses a risk to the integrity or security of the Platform;
- We are required to do so by law or regulatory authority.
We may also remove or restrict user content or access to specific features as needed.
8. Compliance with Law
You must comply with all applicable laws and regulations in connection with your use of the Platform, including but not limited to:
- The UK General Data Protection Regulation (UK GDPR);
- The Data Protection Act 2018;
- The Agency Workers Regulations 2010;
- Relevant employment, safety, and healthcare regulations.
9. Privacy and Data
Your use of the Platform is subject to our Privacy Policy. By using the Platform, you consent to our processing of your personal data in accordance with that policy. You must not submit personal data you are not authorised to provide. You must notify us immediately of any suspected data breach.
10. Third-Party Links and Content
The Platform may link to third-party websites or services. DSS does not control or endorse these and is not responsible for their availability, accuracy, or content.
11. No Warranties
The Platform is provided “as is” and “as available.” DSS does not guarantee uninterrupted access, accuracy, or that the Platform will be error- or virus-free. Use of the Platform is at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law, DSS shall not be liable for:
- Loss of data, business, revenue, or opportunity;
- Errors or omissions in content or functionality;
- Platform outages or unavailability;
- Any indirect or consequential damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, or fraud.
13. Indemnity
You agree to indemnify and hold DSS, its affiliates, employees, and officers harmless from any claims, damages, losses, or expenses arising out of your breach of these Terms or misuse of the Platform.
14. Changes to These Terms
We may update these Terms at any time. If changes are material, we will notify users via the Platform or Website. Continued use of the Platform after changes are published constitutes acceptance of the new Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, and any dispute arising under or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
However, if you are based in Scotland or Northern Ireland, you may also choose to bring proceedings in your local courts, and we will respect and comply with that choice where required by law.
16. General
If any part of these Terms is deemed invalid or unenforceable, the rest will remain valid. These Terms represent the entire agreement between you and DSS unless supplemented by another written contract. No waiver of any breach shall be deemed a waiver of any other.
